What we file
We prepare and submit your Articles of Organization to the Arizona Corporation Commission, with our partner as your registered agent in Arizona. Before filing we search the Arizona register for your name; if it is taken we ask you for another before anything is submitted.
- Name search against the Arizona register
- Articles of Organization filed, state fee paid at cost
- Registered agent in Arizona for 12 months, with mail scanned to your dashboard
- With Standard and Complete: EIN application, operating agreement and banking resolution
The name must be distinguishable on the Arizona register and include LLC, L.L.C., Limited Liability Company or Limited Company.
Every year after
Nothing. Arizona does not require an annual report from LLCs and charges no yearly state fee.
Nothing to miss each year, but changes such as a new manager or agent must be reported.
Separately from the state, a foreign-owned single-member LLC files IRS Form 5472 every year, even with no income.
Processing time
Standard processing can take one to several weeks depending on the backlog. Arizona sells a paid expedite that usually shortens review to a few business days.
Privacy
The Articles name the managers, or the members if member-managed, and members owning 20% or more. That record is public.
Whatever the state publishes, your bank, the IRS and your registered agent always know who owns the company.
State tax
Arizona has a flat state income tax, normally relevant only if you do business in Arizona.
General information, not tax advice. Where you live decides most of your tax position; speak to a tax adviser in your country.
For a founder outside the US
Works well
- No annual report and no yearly state fee
- Low filing fee
Watch out for
- Owners or managers are named in the public record
- A notice of formation must be published within 60 days unless your agent is in Maricopa or Pima County, where the Commission publishes it for free.
- Standard processing can be slow
