What we file
We prepare and submit your Articles of Organization to the Wyoming Secretary of State, with our partner as your registered agent in Wyoming. Before filing we search the Wyoming register for your name; if it is taken we ask you for another before anything is submitted.
- Name search against the Wyoming register
- Articles of Organization filed, state fee paid at cost
- Registered agent in Wyoming for 12 months, with mail scanned to your dashboard
- With Standard and Complete: EIN application, operating agreement and banking resolution
The name must be distinguishable from every other name on the Wyoming register and end in LLC, L.L.C. or Limited Liability Company.
Every year after
Annual report and license tax. The annual report is due on the first day of the month you were formed in, starting the year after formation. The license tax is $60 or two-tenths of a mill on assets located in Wyoming, whichever is more. For a company with no Wyoming assets that means $60.
If the report is not filed within about 60 days of the due date, the state can administratively dissolve the LLC. Reinstatement is possible but costs more than staying current.
Separately from the state, a foreign-owned single-member LLC files IRS Form 5472 every year, even with no income.
Processing time
Online filings are usually reviewed within one to three business days. Wyoming does not sell a paid expedite. Online filing is already quick.
Privacy
The Articles name the organizer and the registered agent. Members and managers are not listed in the public filing. The organizer can be the filing service, so your own name does not have to appear.
Whatever the state publishes, your bank, the IRS and your registered agent always know who owns the company.
State tax
No state corporate or personal income tax.
General information, not tax advice. Where you live decides most of your tax position; speak to a tax adviser in your country.
For a founder outside the US
Works well
- Low yearly cost: $60 for most small companies
- Owners are not named in the public record
- Fast online review
- Long-standing LLC law with strong protection for single-member LLCs
Watch out for
- Less familiar to US venture investors than Delaware
- You still need a registered agent every year
