What we file
We prepare and submit your Articles of Organization to the Nevada Secretary of State, with our partner as your registered agent in Nevada. Before filing we search the Nevada register for your name; if it is taken we ask you for another before anything is submitted.
- Name search against the Nevada register
- Articles of Organization filed, state fee paid at cost
- Registered agent in Nevada for 12 months, with mail scanned to your dashboard
- With Standard and Complete: EIN application, operating agreement and banking resolution
The name must be distinguishable on the Nevada register and include LLC, L.L.C., Limited Liability Company or a similar accepted ending.
Every year after
Annual list and state business license. Every year by the last day of your anniversary month you file the annual list ($150) and renew the state business license ($200).
Late filings carry penalties, and the company can be placed in default and then revoked.
Separately from the state, a foreign-owned single-member LLC files IRS Form 5472 every year, even with no income.
Processing time
Online filings are usually processed within one to three business days. Nevada sells 24-hour, 2-hour and 1-hour expedite options.
Privacy
The initial and annual lists name the managers or managing members. That record is public.
Whatever the state publishes, your bank, the IRS and your registered agent always know who owns the company.
State tax
No personal or corporate income tax. A commerce tax applies only to businesses with Nevada gross revenue above $4 million.
General information, not tax advice. Where you live decides most of your tax position; speak to a tax adviser in your country.
For a founder outside the US
Works well

Watch out for
