What we file
We prepare and submit your Articles of Organization to the Colorado Secretary of State, with our partner as your registered agent in Colorado. Before filing we search the Colorado register for your name; if it is taken we ask you for another before anything is submitted.
- Name search against the Colorado register
- Articles of Organization filed, state fee paid at cost
- Registered agent in Colorado for 12 months, with mail scanned to your dashboard
- With Standard and Complete: EIN application, operating agreement and banking resolution
The name must be distinguishable on the Colorado register and include LLC, L.L.C., Limited Liability Company or Ltd. Liability Co.
Every year after
Periodic report. The periodic report is filed every year around your anniversary month. The window opens two months before that month, and filing on time keeps the fee low.
After the filing window a late fee applies, and a company that keeps missing the report becomes delinquent.
Separately from the state, a foreign-owned single-member LLC files IRS Form 5472 every year, even with no income.
Processing time
Colorado files online and most formations are effective the same day. Not needed. Online filing is effective on submission.
Privacy
The Articles list the registered agent, a principal office address and the person filing. Members do not have to be named.
Whatever the state publishes, your bank, the IRS and your registered agent always know who owns the company.
State tax
Colorado has a flat state income tax. A single-member LLC owned by a non-US person with no Colorado activity is not normally affected, but check with a tax adviser.
General information, not tax advice. Where you live decides most of your tax position; speak to a tax adviser in your country.
For a founder outside the US
Works well
- Fastest approval: usually same day
- Low yearly fee
- Owners do not have to be named
Watch out for
- A principal office address is required in the filing
- Less common choice for non-US founders, so banks see it less
