What we file
We prepare and submit your Articles of Organization to the New Mexico Secretary of State, with our partner as your registered agent in New Mexico. Before filing we search the New Mexico register for your name; if it is taken we ask you for another before anything is submitted.
- Name search against the New Mexico register
- Articles of Organization filed, state fee paid at cost
- Registered agent in New Mexico for 12 months, with mail scanned to your dashboard
- With Standard and Complete: EIN application, operating agreement and banking resolution
The name must be distinguishable on the New Mexico register and include LLC, L.L.C. or Limited Liability Company.
Every year after
Nothing. New Mexico does not require an annual report from LLCs and charges no yearly state fee. You still need to keep a registered agent.
There is no annual report to miss. If your registered agent lapses, the state can still act against the LLC, so keep the agent active.
Separately from the state, a foreign-owned single-member LLC files IRS Form 5472 every year, even with no income.
Processing time
Online filings are usually reviewed within a few business days, sometimes longer. New Mexico does not sell a paid expedite for LLC formation.
Privacy
The Articles list the registered agent and the organizer. Members and managers do not have to be named.
Whatever the state publishes, your bank, the IRS and your registered agent always know who owns the company.
State tax
New Mexico has a gross receipts tax, but it applies to business done in New Mexico. An online business with no customers or activity there is not normally affected. Ask a tax adviser if unsure.
General information, not tax advice. Where you live decides most of your tax position; speak to a tax adviser in your country.
For a founder outside the US
Works well
- Cheapest state to keep: no annual report, no yearly state fee
- Lowest filing fee of the states we offer

Watch out for
- Some banks and payment providers are less familiar with New Mexico LLCs
- No paid expedite
- Less settled case law than Wyoming or Delaware
